Fresh opportunity for black investors to grab MTN shares. MTN is set to launch a new black economic empowerment (BEE) share scheme, MTN Zakhele Futhi, to replace its current scheme which reaches maturity in November, the company announced on Monday. As MTN’s Zakhele lifecycle comes to an end, black investors will have another opportunity to own a slice of the telecommunications giant through Zakhele Futhi which will launch its public offering between 12 September and 21 October. The new scheme is set to run for eight years and MTN is hoping to replicate successes achieved through its first black investor scheme. “MTN Zakhele has created exceptional value for its 124 000 black investors, notwithstanding an extremely difficult nine months, increasing nearly fourfold from R20 per share at inception in 2010, to about R77 per share when the share closed last Wednesday, 17 August 2016. Qualifying black investors will be invited to participate in the scheme and need to invest at least R2 000, at a 20% discounted price of R102,80 – the 10-day volume weighted average price per MTN share on 17 August of R128,50. “This new transaction, together with the continuing contribution of the MTN Zakhele transaction, will translate to an effective indirect ‘see-through’ black ownership in excess of 30% of MTN’s South African operations,” group executive chairman Phuthuma Nhleko said. Phuthuma Nathi, MTN Zakhele and Sasol Inzalo are a few of the well known ones. And the primary goal is to help with empowerment requirements, which vary dependant on industry. The one in question is the MTN Zakhele scheme, which will now be replaced by the MTN Zakhele Futhi. The scheme will help MTN meet black ownership targets required for a radio frequency spectrum licence application. The group is selling a 4 percent stake to black investors in a deal worth R10bn. Some commentators feel these schemes are the biggest untold corporate fraud of South Africa’s democratic era. Riaz Gardee doesn’t go that far, but in his assessment says the proposed deal is disappointing and the discount doesn’t warrant the required holding period. – Stuart Lowman. Further details will be released when the scheme opens on the 12th of September allowing existing and new BEE shareholders the opportunity to apply for shares until the 21st of October. JSE listed MTN Zakhele owns almost 4% of the R240bn MTN, also listed on the JSE, and proposes to unwind when its 3rd party debt matures during November 2016. MTN Zakhele was launched in 2010 with an equity contribution of R20 per share from BEE participants and is currently trading around R65 implying a respectable 20% per annum compounded annual growth for the 6 year period. MTN has concluded a number of value enhancing and ground-breaking BEE deals since the1997 Ikageng share scheme but the latest proposal does not appear to be as promising as the previous initiatives. MTN Zakhele Futhi offers MTN Zakhele shareholders 3 alternatives: Cash settlement, based on the net asset value of MTN Zakhele MTN shares to the equivalent value of the cash payment above or reinvest part or all of the above cash proceeds into MTN Zakhele Futhi at R102.80 per MTN share (representing a 20% discount on the recent MTN trading price of R128.50). Option 3 would also be open to interested BEE participants who do not own any MTN Zakhele shares. The following is an overview of the proposed deal structure having a 70:30 debt:equity gearing ratio. The proposed transaction structure is similar to the existing Zakhele structure with the key difference being the lock-in period. The proposed Futhi lock-in period will be 8 years compared to Zakhele’s 6 year period. No trading will be allowed for the first 3 years with restricted trading amongst black participants for the 5 years from 2019 to 2024. Investors will have to consider MTN’s prospects over the next 8 years up to 2024 as well as the ability of the management team to deliver in the current phase of the company’s life cycle. Sasol also offered investors a funded and unfunded BEE share in 2008 with a discount of 24% on the unfunded share at the time.
Investors could not trade it for the first two years and for the remaining 8 years only trade it with other black participants. The share is currently trading at a 17% discount to the underlying Sasol share after 8 years which highlights the illiquidity and tradeability discounts of restrcited shares. In essence MTN is providing shareholders with a 20% discount on its shares in exchange for holding them until 2024 with restricted trade from 2019 onwards. The proposed discount does not seem to warrant the required holding period unless the investor is expecting exceptional share price growth in MTN over the next 8 years. Alternatively Zakhele shareholders could retain exposure to MTN without any discounts or restrictions. However should exposure to MTN no longer be desirous then the option to invest the cash where better growth is anticipated over the next 8 years is also available. Current Zakhele shareholders have the option to convert their current shares into Zakhele Futhi shares. How MTN Zakhele Futhi will work. The Zakhele Futhi scheme will take the form of a public offering. African, Coloured, and Indian South Africa citizens by birth or descent will be invited to subscribe for and own shares in Zakhele Futhi. There will be a verification process to ensure interested parties are qualifying black participants. Minimum investment amount of R2,000 required. New investors locked in for three years before they can trade the shares. After three years, investors will be able to sell to qualifying black participants. After eight years, shareholders will be able to sell the shares to anyone. Zakhele shareholders can re-invest a portion of their shares in Zakhele Futhi. Zakhele shareholders will get a 20% discount on MTN shares through Zakhele Futhi. Zakhele shareholders will have the option to take cash, or roll their shares into MTN Group shares. Zakhele shareholders will have to make the choice on what they want to do by 21 October. If Zakhele Futhi shares are over-subscribed, MTN Zakhele shareholders will be prioritised.
The Zakhele Futhi offer is expected to launch on 12 September 2016, and will close on 21 October 2016. MTN Zakhele chairwoman Sindi Mabaso-Koyana said they have more than 100,000 Zakhele shareholders, who are mostly individual shareholders with less than 500 shares. Mabaso-Koyana predicts that many of these shareholders will be keen to lay their hands on cash, and won’t convert their shares into the Zakhele Futhi offer. Hardly a Proudly South African moment, and an especially ironic one when one considers the spirit behind BEE share schemes. Spokesman Sydney Mhlari told us in our CNBC Africa interview below that the directors opted instead for an offshore service provider, Velocity Trade. From what I could find, the foreign firm has never done this kind of thing before. Brendon from Velocity posted a comment (see below) pointing out that I am mistaken. His update is awaited with interest. Velocity’s website says it has experience in providing operating platforms for Foreign Exchange and CFDs trading. That’s a world away from an over-the-counter equity market, to say nothing of the added complexity involved here to ensure all participants are from a defined racial group. You have to wonder what possessed MTN Zakhele chairman Thulani Gcabashe and his directors to take this kind of gamble on the most important day in MTN Zakhele’s life. Hopefully it’s nothing sinister, but the result only of ignorance and Velocity’s obviously superior salesmanship.

GUGULETHU MFUPHI: Trading in the three-year-old R14 billion scheme of MTN Group was suspended yesterday as both the online trading platform as well as the call centre were overwhelmed by volumes on the first two days of trade. Sydney Mhlari, who is from MTN Zakhele, joins us now on the line. Sydney, looking at the overwhelming response to the trading platform MTN Zakhele being opened on Monday: this is unprecedented. It’s never happened before with regard to trade on a BEE scheme. SYDNEY MHLARI: It has done extremely well since its launch in 2010 and that’s the reason for the demand as well as the new people being interested in buying the shares. ALEC HOGG: Yes, but Sydney, 93 000 shares traded, R8m in the first day. On the Johannesburg Stock Exchange so far today – R120m, in other words nearly 15 times as many shares were traded in MTN. What happened to your systems? SYDNEY MHLARI: This is not the JSE. It’s a specifically designed platform, especially created to cater for MTN Zakhele’s purposes, so it had to be scaled appropriately. Unfortunately, the scaling didn’t anticipate the surging demand, so we had to suspend the trading temporarily until capacity can be increased so that the shareholders can be accommodated and they can trade without hiccups.
ALEC HOGG: Who’s doing this for you? I ask this because there’s a perfectly good over-the-counter BEE trading system that operates very efficiently called Equity Express. Why did you decide not to use them? SYDNEY MHLARI: Well, the companies that are providing the services in a joint venture with a company called Velocity Trade Financial Services that has been appointed by the directors to provide the platform. ALEC HOGG: But who are these people and have they had experience in this before? SYDNEY MHLARI: Velocity has provided trading systems and opportunities around the world. It’s a global international company. @alechogg Who gets the kickback per transaction executed? Board members? ALEC HOGG: And how come they got this one so wrong? SYDNEY MHLARI: Well, as I said Alec, the system works and functions exactly as the numbers that you mentioned over those two days, but the scaling of that system unfortunately, was a little bit under-capacitated. ALEC HOGG: But it’s more, Sydney, you have many shareholders in this. They’re excited about the opportunity. You get one bite at the cherry and now I suppose people are going to be a little disappointed.
You have to be looking at your own systems and saying, ‘my goodness, we made a mistake’. SYDNEY MHLARI: Absolutely, there’s no hiding from that and that’s exactly what we’re doing, trying to scale up the capacity. We hope that it will give us a second bite at it. ALEC HOGG: So the good news is that you are going to be back online on Monday. SYDNEY MHLARI: Correct. ALEC HOGG: How confident are you that the systems will then be able to handle the capacity? SYDNEY MHLARI: Well, that’s part of the process. The technical team is working around the clock in order to do that, as well as to reset, to make sure that it will be able to handle the capacity. ALEC HOGG: You didn’t answer my original question, which was ‘why didn’t you use Equity Express’? SYDNEY MHLARI: Well, I don’t want to go into details, but those decisions were made by the Board after considering a variety of factors.
